Corporate Lawyer

UFUTURE is looking for a Corporate Lawyer in Kyiv

Qualifications:

• degree in Law;
• 3+ years of relevant professional experience in corporate law;
• practical experience in supporting corporate transactions and working with Ukrainian and foreign companies;
• experience with international jurisdictions and cross-border matters;
• Upper-Intermediate or higher level of English, including legal English;
• solid knowledge of corporate, civil, commercial and tax law;
• experience with KYC / compliance matters;
• strong MS Office skills and experience with legal and business databases (YouControl, LIGA360, etc.).

Key Responsibilities:

• legal support of corporate and commercial transactions, including drafting and reviewing transaction documents, corporate approvals and closing documentation;
• corporate legal support of Ukrainian and foreign companies, including corporate restructurings and other corporate actions;
• day-to-day legal support of the Group’s business operations;
• drafting, reviewing and negotiating commercial agreements, corporate documents, resolutions, powers of attorney and other legal documentation;
• handling KYC / compliance matters, including preparation and review of KYC documentation and coordination of compliance requests from banks, financial institutions and other counterparties;
• conducting compliance and background checks of counterparties and transaction parties and identifying potential legal and reputational risks;
• communication and coordination with banks, auditors, external legal advisers, corporate service providers and other counterparties in Ukraine and foreign jurisdictions;
• legal research and analysis on corporate, commercial, tax and other business-related matters;
• handling various legal and corporate ad hoc assignments.
